Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between Miricall AI Solutions ("Miricall", "we", "us", or "our") and the client ("Client", "you", or "your") as identified in any service agreement, proposal, or invoice. By engaging Miricall for services, you agree to be bound by these Terms.

1. Services

Miricall provides AI consulting and implementation services for Australian small and medium-sized businesses. Our core offerings include:

  • Basics of AI Workshops: Tailored educational sessions with hands-on tool exploration and team upskilling
  • AI Implementation: Design, build, and deployment of custom AI voice and chat agents, lead capture/nurture automation, CRM integrations, and custom workflows
  • Workflow Consulting: Strategic business process audits, AI opportunity mapping, integration roadmaps, and change management support

The specific scope, timelines, and fees will be outlined in a proposal or Statement of Work (SOW). Any variations must be agreed upon in writing and may incur additional fees.

2. CPD Accreditation

Miricall AI Solutions is a CPD Approved Provider (#789772, The CPD Group). Where workshops are delivered as CPD-accredited sessions, Miricall is responsible for issuing certificates of attendance to eligible participants upon request following session completion. CPD hours per session will be specified in the workshop description or confirmation. Miricall maintains attendance records for a minimum of 5 years in accordance with CPD provider obligations.

3. Payment Terms

  • All prices are in Australian Dollars (AUD), exclusive of GST unless otherwise stated. GST will be itemised separately on invoices
  • Workshops: Must be paid in full prior to delivery unless otherwise agreed. Bookings are not confirmed until payment is received
  • Implementation and Consulting: Fees and payment schedules are set out in the SOW or invoice. Unless otherwise specified, invoices are payable within 14 days of the invoice date
  • Miricall reserves the right to suspend services or withhold deliverables if payments are overdue
  • Third-party costs (software subscriptions, telephony, hosting, AI platform fees) are payable by the Client unless expressly included in Miricall's fees in writing

4. Workshop Cancellations and Refunds

  • Cancellations more than 7 business days before the workshop: full refund
  • Cancellations within 7 business days: non-refundable but transferable to a future session at our discretion
  • If Miricall cancels or reschedules a workshop: full refund provided or alternative date offered
  • Where a workshop forms part of a consulting engagement, cancellation terms are as set out in the SOW or proposal

5. Client Obligations

  • Provide timely access to data, systems, and personnel required for Miricall to perform the services
  • Ensure all data provided is accurate and that you have the legal right to use and share it
  • Comply with acceptable use policies of any third-party AI platforms (e.g., OpenAI, Anthropic, Perplexity) integrated during the project
  • Where AI voice agents are deployed, ensure appropriate consent notices are provided to callers under the Telecommunications (Interception and Access) Act 1979 and relevant state listening devices legislation. Final regulatory compliance responsibility rests with you as the business operator

6. Intellectual Property

  • Client Ownership: Upon full payment, you own the specific configurations, custom workflows, and agents built for your business
  • Miricall IP: Miricall retains ownership of pre-existing methodologies, templates, proprietary code, and educational materials. You receive a non-exclusive, non-transferable licence for internal business use only
  • Third-Party Tools: Software and AI platforms are subject to their own licensing agreements

7. AI Disclaimer and Limitation of Warranties

  • Nature of AI: AI technologies may produce inaccurate, incomplete, or biased outputs ("hallucinations") and may behave unpredictably
  • As-Is Basis: All services and deliverables are provided "as is". We do not warrant uninterrupted, error-free operation or fitness for a particular purpose
  • Client Responsibility: You are responsible for reviewing and approving AI-generated outputs before relying on them — particularly where outputs impact customers, finances, legal compliance, health, or safety
  • Third-Party AI Providers: Where solutions use third-party AI services, outputs are generated by those providers, not Miricall. We are not responsible for their content, accuracy, or availability
  • Third-Party Changes: Miricall is not responsible for outages, price changes, or deprecations caused by third-party providers
  • No Guarantee of Outcome: We do not guarantee specific business outcomes, financial results, lead volumes, or performance metrics

8. Training and Education

Training provided as part of our services is educational in nature and does not constitute legal, financial, medical, or technical compliance advice beyond the scope of the implemented tools.

9. Confidentiality

Both parties agree to keep all sensitive business information shared during the engagement strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement. Miricall handles your personal information in accordance with our Privacy Policy and the Australian Privacy Principles.

10. Limitation of Liability

  • To the maximum extent permitted by Australian Consumer Law, Miricall's total liability is limited to the total fees paid by the Client for the specific service giving rise to the claim
  • Miricall is not liable for indirect, consequential, special, or economic loss including loss of profits, revenue, goodwill, opportunity, or data
  • Miricall will not be liable for loss arising from reliance on AI-generated outputs, third-party AI model behaviour, third-party platform outages or changes, or Client configuration choices or data quality

11. Force Majeure

Miricall is not liable for failure or delay resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic or public health emergencies, government actions, cyberattacks, internet or telecommunications outages, third-party AI or platform provider outages or changes, or industrial disputes. We will notify you as soon as reasonably practicable and both parties will work in good faith to agree on a path forward.

12. Dispute Resolution

  • Parties agree to first attempt resolution through good faith negotiation within 14 days of written notice of the dispute
  • If unresolved, parties agree to attempt mediation before commencing legal proceedings
  • Nothing prevents either party from seeking urgent injunctive or equitable relief where necessary

13. Non-Solicitation

During any engagement and for 12 months following its conclusion, the Client agrees not to directly solicit or engage any Miricall employee, contractor, or subcontractor involved in the delivery of services, without Miricall's prior written consent.

14. Termination

  • Either party may terminate with 30 days' written notice
  • Miricall may terminate immediately if the Client is in material breach and has not remedied it within 7 days of written notice
  • Upon termination, the Client must pay for all work completed and expenses incurred to the date of termination

15. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria.

16. General

If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions continue in full force. These Terms, together with any applicable SOW, proposal, or invoice, constitute the entire agreement between the parties.
